Process and timing
- Obtaining foreigner IDs for all shareholders and directors. (10 days)
- Choosing a corporate name and applying at the Central Registry in Madrid. (2 days)
- Opening bank account with the share capital (minimum EUR 3.000) (1 day)
- Incorporation of the company before a Notary Public. (1 day)
- Obtaining for TAX ID (1 day)

Obtaining ID for Shareholders and/or directors (Natural persons)
All non-resident shareholders and directors must obtain a foreigner ID (NIE).
The NIE can be obtain basically in two ways:
- Applying at the Consulate general of Spain in your country. This is the cheapest option and will obtain your NIE in about 15 days.
- Applying in your behalf in Spain through POA. We will prepare the POA and send it to you. Once we have the POA we will go to the police station and obtain your NIE.
Obtaining ID for Shareholders and/or directors (Companies)
In the case that a foreign company is going to be partially or wholly shareholder of the Spanish company, the following requirements and documents will be needed:
- Special POA in order to incorporate a company in Spain. This POA will include the name of the person who will sign the incorporation (can be granted to a person in Spain if you want to avoid travelling) and the powers to obtain all the required documents in order to incorporate the company.
- Tax ID for the foreign company (obtained in Spain)
- Passport of the person who will sign the POA
- Commercial Registry certificate to proof the existence of the foreign company.
Company name
An unique company name must be obtained in order to sign before the Notary. The application is filed to the Registro Mercantil Central (Central Commercial Registry) in Madrid.
Company address
It is compulsory to have an address in Spain in order to create the company. This address can be the address of your office, warehouse, home, etc.
If you do not have an address at the beginning there are plenty of companies who offer this service (serviced office companies). This companies also offer rooms for meetings, etc.
Company Share capital
One of the requirements for any new company in Spain is to have a minimum share capital of EUR 3000
This requirement can be basically met in two ways:
- Depositing the share capital in a bank account which holder is the company. The bank will issue a certificate stating that you and, if it is the case, the other shareholders have deposited the share capital in this bank and in a certain account number. This account will not be fully operative until the deed of incorporation is inscribed.
- However, another quite unknown way to comply with the share capital requirement is to provide the company non-monetary means assets (services not allowed) which value is that of the share capital or higher.
The second option is useful if you don’t need a bank account or if you want to win days at the beginning of the company formation. You can still open a bank account once the company has been registered.
Immigration
Please note that setting up a company in Spain does not grant any type of residence or working permit. This is a separate procedure that must be studied case by case.
